Hire Period(s) The Hirer will be required to leave the Hired Spaces clear of any belongings, props, set pieces or rigging and in a clean and tidy state for use by the Venue and third parties outside of the specified access times. 1.2. The Hirer will have access to the Hired Spaces at the following times: --------------------------------- 1.3. The Hirer will not be given access to the Hired Spaces outside of the specified Hire Period(s). All activity, including set-up and pack-down, must take place within the specified Hire Period(s). If the hirer runs over the specified hire period the Venue will charge an additional £15 per 10 minutes. 2. Hire Fee 2.1. The Hirer will pay the Venue a fee of £60 (excluding VAT) according to the following payment schedule: 1 2.1.1. If the booking is made more than 6 weeks prior to the commencement of the Hire Period(s), at least 50% of the Hire Fee must be paid within 14 days of invoice. The remaining balance must be paid no later than 6 weeks prior to the commencement of the Hire Period(s). 2.1.2. If the booking is made less than six weeks prior to the commencement of the Hire Period(s), the Hire Fee must be paid in its entirety within 10 days of invoice, and no later than 2 working days prior to the first date of the Hire Period(s). 2.2. If the payment schedule detailed above is not adhered to, the Venue reserves the right to cancel the provisional booking and to accept alternative bookings. 3. Purpose of Use 3.1. The Hirer will be using the Hired Spaces for ---------------------------- 3.2. The Hirer shall not use the Hired Spaces otherwise than for the Purpose of Use and shall inform the Venue if their intended use changes. If the purpose of use does change the Venue has the right to terminate immediately on notice given by the Venue or to renegotiate the contract. 3.3. The Hirer will not do anything in or about the premises likely to break the law or any statutory requirement or injure the reputation of the Venue. 3.4. The Hirer is responsible for maintaining good order at all times and should undertake adequate supervision of their agents, employees or guests at all times during the Hire Period(s). 3.5. The Hirer shall nominate an individual to be responsible for the hire, who will act as the key holder and liaise with the Venue whilst on-site. This individual must be present for a 10-minute induction/studio orientation at the start of the Hire Period(s). 4. Rigging, Floors, Structures, Installations & Special Effects 4.1. The Hirer may not carry out any construction work, painting or set repairs. 4.2. The Hirer will not affix any items to the walls. 4.3. The Hirer agrees to provide some form of suitable covering to protect the floor surfaces and coverings from any damage that may arise from footwear, equipment, set, staging, props or stage markings. The Hirer and the Venue have a verbal agreement regarding the use of tape to mark-up the floor in the studio, with the understanding no residue will be left. 4.4. Any temporary structures (e.g. rigging, steel-deck, dance stages, lighting trusses, set, hangings or suspensions) and their installation, must be approved beforehand by the Venue and will be the responsibility of the Hirer. 4.5. Any person responsible for rigging must be authorised by the Venue and may be required to undergo an induction and/or assessment. 4.6. Only competent, qualified persons may undertake use of at-height access equipment. The Venue reserves the right to prohibit users or activities should they appear unsafe or unsuitable. 4.7. The Hirer may not use special effects (including smoke, real flame, pyrotechnics, dry ice, strobe lights and lasers) without the express permission of the Venue. 4.8. Timber scenic items must be constructed to class 1 standards. These cannot be constructed on site. All materials must be inherently fireproofed. Items not inherently proofed may not be brought on- site without the express permission of the Venue. 4.9. The Venue reserves the right to charge the Hirer, and the Hirer shall be responsible for paying for repairs or damage caused as a direct result of their hire to floors, locks, walls, ceilings, rigging points or any other fixtures and fittings or Venue equipment or the fabric of the Venue’s building. 4.10. If using poles any grip must be completely removed by the hirer. All jewelry that comes in contact with the pole must be removed. Any damage to poles will be charged to the hirer. 5. Health & Safety Regulations 5.1. The Hirer shall comply with all instructions from the Venue relating to its own Health and Safety procedures, including but not limited to the Venue’s protocols relating to the COVID-19 pandemic. 5.2. Both Parties agree to comply with Health and Safety at Work Act 1974 and any regulations thereunder and shall co-operate fully with each other so far as is necessary for the performance of any such statutory duty. 5.3. Both parties shall comply with all legislation and government guidance relating to the COVID-19 pandemic. 5.4. All electrical equipment will be maintained and operated in accordance with the provisions of the Electricity at Work Regulations 1989. 5.5. The Venue reserves the right to request Risk Assessments and Method Statements for any aspect of the Hirer’s intended activities. The Venue reserves the right to veto any intended activity by the Hirer. 5.6. The hirer is responsible for informing the school of any persons involved with the event in any capacity who attends the premises and has mobility issues which makes them less able than another to exit in the event of fire or emergency. 5.7. Only competent, qualified persons may undertake any activities at height. 5.8. The Hirer shall ensure that all fire escape routes and exits from the Hired Spaces are kept clear of obstruction. The Hirer shall not cover or obscure signage marking fire exits and escape routes. 6. Room Capacity, Health Screening & Guest Management 6.1. The Hirer shall not allow more people to occupy the Hired Spaces at any one time than the limits imposed in UK government guidelines as applicable at the relevant time. 6.2. The Hirer shall inform the Venue in advance of everybody they are inviting to the Hired Spaces, and shall keep an accurate record of all persons who attended the Hired Spaces each day. 6.3. The Hirer shall keep an accurate record of all persons occupying the Hired Spaces at any given time. In the event of evacuation, a representative of the Hirer will be asked by the Venue’s fire marshal to confirm if any of their agents or guests are unaccounted for. 6.4. The Hirer shall not conduct open auditions or events in the Hired Spaces. The Hirer may conduct invited auditions and events, if applicable to the agreed Purpose of Use, providing that in advance of the event the Hirer supplies to the Venue a list of invited candidates or guests. The Hirer will be required to provide a representative to guide guests to the Hired Spaces; the Hirer understands that there is no designated waiting area for guests outside of the Hired Spaces. 7. Facilities 7.1. The Venue is responsible for providing adequate heating, lighting, ventilation, water and sanitary facilities. Any additional special requirements must be negotiated, agreed upon and communicated in writing, prior to the Hire Period(s). 7.2. The Venue is not responsible for any equipment or goods belonging to the Hirer, their agents, employees or guests, stolen or damaged. Such items or goods will be left unattended at the Hirer’s risk. 7.3. The Venue will provide household bins within the Hired Space(s) and will empty them on a regular basis. Any refuse resulting from the Hirer’s activities or their sub-contractors will be the responsibility of the Hirer to dispose of off-site. The Venue reserves the right to charge a penalty for excessive refuse left on-site. 7.4. The Hirer will leave the Hired Spaces in a reasonable, clean and tidy condition, comparable to the condition in which they were found at the commencement of the Hire Period(s). Charges will be made for any extra costs incurred by the Venue for additional cleaning. 7.5. The Hirer agrees to remove all equipment owned or hired by the Hirer at the end of the Hire Period(s). 8. Noise & Nuisance 8.1. The Hirer shall not do anything which might inconvenience or interfere with, or cause a nuisance to, the users and occupiers of the Venue, any adjoining building, or the immediate public vicinity. 8.2. The Venue permits the Hirer to use the audio equipment provided with the rehearsal space. 8.3. Any proposed use of other audio equipment, amplified music or of live musicians and any workshop activity using instruments or singing must be notified, discussed and agreed upon in writing. 8.4. Use of equipment and apparatus in the venue must be discussed and agreed prior to use by appropriate professionals, and all equipment left as found. 8.5. The Venue reserves the right to exercise control over the volume of recorded or amplified music and the Hirer agrees to comply with all requests to adjust volume and observe any requirements regarding keeping doors or windows closed in deference to other Venue users and neighbouring residents and businesses. 9. Supervision of Minors 9.1. The Hirer shall ensure that any person(s) in the Hired Spaces below the age of 18 years old are supervised by adults to a level equivalent of or in excess of the adult to child ratios detailed below. 9.1.1. For children between the ages of 15 and 17 years old, an adult to child ratio of 1:8 should be maintained, with a minimum of two adults. 9.1.2. For children between the ages of 8 and 14 years old, an adult to child ratio of 1:6 should be maintained, with a minimum of two adults. 9.1.3. All children under the age of 8 years old should be accompanied by their own parent or guardian. 9.2. The Venue may at its absolute discretion permit the Hirer to maintain a reduced level of supervision if requested in advance of the Hire Period(s). In such cases, the Venue will require the Hirer to submit a Risk Assessment and/or a Safeguarding Policy, referencing the Hirer’s intended level of supervision. The Venue reserves the right to refuse any such request. 10. Filming & Photography 10.1. The Hirer must state the designed usage for footage/photgraphy taken at the venue. 10.2. Photography and filming outside of the Hired Spaces, or of other users and occupants of the Venue, is not permitted without the prior approval of the Venue and the featured persons. 11. Insurance 11.1. The Hirer shall carry adequate insurance (without exclusions) to cover any liabilities incurred by them in connection with the hire or persons attending the premises at the Hirer’s request. The Hirer shall provide written proof of such before commencement of the Hire Period(s). 12. Payments 12.1. For the purposes of this clause, the “Paying Party” shall mean the Party making the payment and the “Receiving Party” shall mean the Party receiving the payment. 12.2. Where applicable, all payments made by either Party under this Agreement are exclusive of VAT. If any such payment constitutes the whole or any part of the consideration for a taxable or deemed taxable supply by the Receiving Party, the Paying Party shall increase that payment by an amount equal to the VAT which is chargeable in respect of the taxable or deemed taxable supply in question, provided that Receiving Party shall have delivered a valid VAT invoice in respect of such VAT to the Paying Party. If the Paying Party fails to comply with its obligations under this clause, it shall additionally pay all interest and penalties which thereby arise to the Receiving Party. If any VAT invoice is delivered to the Paying Party after the relevant payment has been made, the Paying Party shall pay the VAT due within 5 Business Days of the Receiving Party delivering a valid VAT invoice. 12.3. In the event of any delay in paying any sum due under this Agreement by the due date, the Paying Party shall pay to the Receiving Party interest on the overdue amount at the rate of 3% per annum above HSBC's base rate from time to time. Such interest shall accrue on a daily basis from the due date until actual payment of the overdue amount, whether before or after judgment. The Paying Party shall pay the interest together with the overdue amount. 12.4. All sums payable by the Paying Party under this Agreement shall be paid free and clear of all deductions and withholdings unless the deduction or withholding is required by law. If any deduction or withholding is required by law, the Paying Party shall pay to the Receiving Party such sum as will, after the deduction or withholding has been made, leave the Receiving Party with the same amount as it would have been entitled to receive in the absence of any such requirement to make a deduction or withholding. 12.5. Any sums payable under this Agreement shall be paid in sterling to the credit of the bank account designated in writing by the Receiving Party. 13. Cancellation 1.1. Payments are non-refundable and should be made as specified in Section 3 above. Hire may be rescheduled pending availability if 24hrs notice is given.
